Attending the Virtual Annual Meeting
The Virtual Annual Meeting will be held on February 6, 2024 at 8:00 a.m Pacific Time and can be accessed by visiting the website here, where you will be able to listen to the meeting live and vote during the meeting. You may access the virtual meeting site beginning at 7:45 a.m. Pacific Time. We encourage you to allow ample time for online check-in. Please note that you will only be able to attend the meeting by means of remote communication. The Company’s Board of Directors has fixed the close of business on December 11, 2023, as the record date for the determination of stockholders entitled to receive notice of, and to vote on, all matters presented at the Virtual Annual Meeting or any adjournments thereof.
Your vote is very important. Even if you think that you will attend the Virtual Annual Meeting, we ask you to please cast your vote in advance. You may vote your shares via the Internet, by telephone, by mail or, except for certain stockholders described on page 3 of the Proxy Statement, via the virtual meeting website during the Virtual Annual Meeting. We encourage you to review the Proxy Statement and associated materials and vote your shares prior to our Virtual Annual Meeting.
Attendance at the Virtual Annual Meeting is limited to stockholders as of the record date. You will need to provide the control number found on your proxy card to access the Virtual Annual Meeting.
Upon request, any holder of the Company's securities may obtain a paper copy of the Company's annual report on Form 10-K, including complete audited financial statements and any schedules included in the annual report on Form 10-K, without charge, by completing and submitting the online request form or by writing to the Company's Secretary, at the Company's principal executive offices, Franklin Resources, Inc., One Franklin Parkway, San Mateo, CA 94403-1906. Upon written request to the Company's Secretary, at the address of the Company's principal executive offices, the exhibits set forth on the exhibit index of the Company's annual report on Form 10-K may be made available at reasonable charge. The charge will be limited to the Company's reasonable expenses in furnishing such exhibits. Franklin Resources, Inc. is taking advantage of Securities and Exchange Commission rules allowing issuers to provide proxy materials to stockholders on the Internet. The rules enable the Company to provide its stockholders with the information they need, while lowering the cost of the delivery of the materials and reducing the environmental impact of printing and mailing hard copies.
