Direct Investment and Dividend Reinvestment Computershare offers a direct investment program that provides both registered holders and interested first-time investors with an alternative for buying and selling Franklin Resources, Inc. common stock. The plan also features a dividend reinvestment option that allows participants to purchase additional shares of Franklin Resources, Inc. common stock by investing all or a portion of their cash dividends.

The Company’s common stock is traded on the New York Stock Exchange under the ticker symbol BEN.

As an individual investor, your shares may be held in either street name registration through your brokerage firm, direct registration with the transfer agent, or in physical certificate form. Attendance at the Annual Meeting is limited to stockholders as of the record date. You will need to provide proof of ownership to enter the Annual Meeting. If your shares are held beneficially in the name of a bank, broker or other holder of record you must present proof, such as a bank or brokerage account statement, of your ownership of common stock as of December 18, 2017, to be admitted to the Annual Meeting. For holders of record, please bring either the admission ticket attached to your proxy card or your Notice of Internet Availability of Proxy Materials. At the Annual Meeting, representatives of the Company will confirm your stockholder status. Stockholders must also present a form of photo identification such as a driver’s license or passport to be admitted to the Annual Meeting.

No cameras, recording equipment, electronic devices, bags, briefcases, packages or similar items will be permitted at the Annual Meeting.

Upon request, any holder of the Company's securities may obtain a paper copy of the Company's annual report on Form 10-K, including complete audited financial statements and any schedules included in the annual report on Form 10-K, without charge, by completing and submitting the online request form or by writing to the Company's Secretary, Maria Gray, at the Company's principal executive offices, Franklin Resources, Inc., One Franklin Parkway, San Mateo, CA 94403-1906. Upon written request to the Company's Secretary, at the address of the Company's principal executive offices, the exhibits set forth on the exhibit index of the Company's annual report on Form 10-K may be made available at reasonable charge. The charge will be limited to the Company's reasonable expenses in furnishing such exhibits. Franklin Resources, Inc. is taking advantage of Securities and Exchange Commission rules allowing issuers to provide proxy materials to stockholders on the Internet. The rules enable the Company to provide its stockholders with the information they need, while lowering the cost of the delivery of the materials and reducing the environmental impact of printing and mailing hard copies. Instead of printed proxy materials, some of the Company's stockholders will receive a notice in the mail with instructions on how to access proxy materials and vote on the Internet, and other stockholders will receive paper copies of the proxy materials. If you received a notice and would like paper copies of the proxy materials, please follow the instructions on your notice for requesting such copies free of charge.
